Please read these Terms carefully. By creating an account or using Nexus Command™, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.
These Terms of Service ("Terms") govern your access to and use of Nexus Command™ and the Helios Leadership Suite™ (collectively, the "Service"), operated by Hudley Entertainment ("Company," "we," "us," or "our"), located in Albany, Georgia.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Hudley Entertainment. By accessing or using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement.
Nexus Command™ is an AI-powered leadership intelligence platform built for restaurant operations professionals. The Service includes:
The Service is provided as a software-as-a-service (SaaS) subscription product. Features and functionality may be updated, modified, or discontinued at our discretion with reasonable notice to subscribers.
To access the Service, you must create an account by providing accurate and complete information including your name, role, and a valid email address. You are responsible for:
We reserve the right to terminate or suspend accounts that violate these Terms or that we determine, in our sole discretion, are being used in a harmful or abusive manner.
Plans. Nexus Command™ offers the following subscription tiers: Commander (individual), Command Unit (team), and Command Network (enterprise). Features and seat limits vary by plan. Current pricing is listed at nexuscmd.io/pricing.
Founding Members. The first twenty (20) Commander subscribers ("Founding Members") will have their monthly rate locked permanently at the Founding Members price as published at the time of subscription. This rate lock applies only to the original subscribing account and is non-transferable.
Free Trial. New subscribers may access a 14-day free trial. Your payment method will be charged at the end of the trial period unless you cancel before the trial expires. Cancellation instructions are available in your account settings.
Billing. Subscriptions are billed monthly or annually in advance. Annual subscribers receive a discount equivalent to two months free. All charges are processed through Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis.
Refunds. All fees are non-refundable except as required by applicable law or as stated in a specific promotion. If you believe a charge was made in error, contact us at hello@nexuscmd.io within 14 days of the charge.
Price Changes. We reserve the right to modify subscription pricing with at least 30 days' notice to active subscribers. Founding Members rates are exempt from general price increases as described above.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
Helios is powered by a server-side AI model provided by Anthropic. You do not need to obtain or manage an Anthropic API key to use the Service. All AI processing occurs through Hudley Entertainment's infrastructure.
Use of third-party services (including Anthropic, Stripe, Resend, and others) through or in connection with the Service is subject to the respective terms and privacy policies of those services. Hudley Entertainment is not responsible for the practices of third-party providers.
Our IP. Nexus Command™, Helios Leadership Suite™, FORCE Engine™, and all associated branding, system architecture, routing logic, module frameworks, and content are the exclusive property of Hudley Entertainment. These are protected by trademark, copyright, and trade secret laws. Nothing in these Terms grants you any ownership rights in the Service or its underlying components.
Your Content. You retain ownership of any information you provide to the Service, including your onboarding profile answers and descriptions of situations you bring to Helios. By using the Service, you grant Hudley Entertainment a limited license to process and use this information solely to provide and improve the Service.
AI Outputs. Responses generated by Helios are provided for informational and leadership development purposes only. You may use these outputs for your own professional use. You may not resell, distribute, or commercially exploit Helios outputs without written permission from Hudley Entertainment.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Hudley Entertainment does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Service or the server that makes it available are free of viruses or other harmful components; or (d) the results obtained from use of the Service will be accurate or reliable.
No Professional Advice. The Service provides leadership intelligence tools for informational and developmental purposes only. Nothing in the Service constitutes legal, HR, financial, medical, or professional advice. You are solely responsible for decisions made in reliance on Service outputs. Always consult qualified professionals for legal, employment, or other regulated matters.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUDLEY ENTERTAINMENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL HUDLEY ENTERTAINMENT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO HUDLEY ENTERTAINMENT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Hudley Entertainment and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the paid period.
We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or if we determine that your use poses a risk to the Service, other users, or third parties. Upon termination, your right to use the Service ceases immediately.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Dougherty County, Georgia, and you consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceeding, both parties agree to attempt to resolve disputes informally by contacting hello@nexuscmd.io and allowing 30 days for resolution.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
